Welcome to RaiseMyStartup. We provide a platform through which the new and growing businesses and registered users can interact with each other for the purpose of evaluating a potential business relationship and through such platform, facilitate the validation of the business ideas provided by the businesses as well as effective and secure communication between such businesses and other users.

We provide a platform where startups can meet sophisticated investors and prospective employees.

Users of this website may open an account as a “Startup” (who are looking for advice and an introduction to potential investors), as an “Investor”.

Significant regulatory considerations apply to the capital raising process, and this Agreement sets forth terms on which Startups interact with Investors through our platform.

Startups:

If you are a Startup, you are welcome to register your startup details, upload information about your business plan, including information you consider confidential to RaiseMyStartup, and to designate which Investors may see that information. We will do our best to display information you have designated as “Confidential” only to users who have fit within the categories you have identified. We cannot, however, guarantee that users who see your confidential Information do not to distribute that information. We also cannot guarantee that there will never be a software bug or a hacker attack that allows unauthorized viewing of material or that user actually fit within the categories they have identified themselves under.

Investors

The only people who are authorized to register Investor information on the Site are investors with personal or professional experience assessing the long term business prospects of early stage companies. Investors must understand the risk of investing in early stage companies, including the high likelihood of loss and long period of illiquidity. In addition, if you are using the site as an Investor, you must be sophisticated enough to protect your own interests. In the course of participating as investment opportunities through the Site, you may receive Confidential Information. You will also want to select what kinds of Startups you would like an introduction to and what kinds of business plans you would like to see. We do not promise to make introductions to all Startups or show you all business plans that meet your criteria, nor can we promise that all Startups we introduce and business plans that we show you will actually satisfy your criteria, but we will try.

By using the RaiseMyStartup Platform, you agree to the Terms of Use contained in this document. RaiseMyStartup provides its service to the user of the RaiseMyStartup platform, subject to the following Terms of Service, which may be updated by RaiseMyStartup at any time without notice to the user. The user can review the most current version of the terms at any time. In addition, when using particular RaiseMyStartup services, the user of the RaiseMyStartup shall be subject to any posted guidelines or rules applicable to such services which may be posted from time to time. All such guidelines or rules are hereby incorporated by reference into the Terms of Use. RaiseMyStartup also may offer other services from time to time, which may be governed by this Terms of Use. Subject to the terms of these Terms of Service, which constitute the agreement between RaiseMyStartup and you, the User, RaiseMyStartup grants to you a non-exclusive, revocable, non-transferable license to use the RaiseMyStartup Platform. All right, title, and interest in and to the RaiseMyStartup Platform (excluding User Content) is and will remain the exclusive property of RaiseMyStartup and and/or its licensors.

Limitations on Services

We use internally developed systems for providing You access to and facilitating Your use of the Platform. These systems may encounter technical or other limitations, and computer and communications hardware systems might experience interruptions. Further, we continually enhance and improve these systems in order to accommodate the level of use of the Platform. We may also add additional features and functionality to Platform that might result in the need to develop or license additional technologies. Increased utilization of the Platform or providing new features or functionality may cause unanticipated system disruptions, slower response times, degradation in levels of customer service, and delays in reporting accurate financial information. You agree that We shall not be liable to You or to any third party claiming through You, for any such failures contemplated herein.

RaiseMyStartup reserves the right to change or discontinue, either temporarily or permanently, any part of the RaiseMyStartup Platform or any or all of its services at any time and without prior notice. You agree that neither RaiseMyStartup nor any of its third party service providers will be liable for any damages, including lost business opportunities, should such discontinuance occur.

Data Accuracy

We may ask that any registration data you provide to RaiseMyStartup is true, current and complete. In the event any of this information changes, please update it on your personal profile page.

Passwords

During your registration you will set your account access login and password. You are responsible for maintaining the confidentiality of this information and are responsible for any and all activities and postings that are made using your account.

Any material that would give rise to criminal or civil liability; that encourages conduct that constitutes a criminal offense; or that encourages or provides instructional information about illegal activities or activities such as “hacking,” “cracking,” or “phreaking. Any virus, worm, Trojan horse, Easter egg, time bomb, spyware, or other computer code, file, or program that is harmful or invasive or that may or is intended to damage, hijack, disable, interfere with, or disrupt the operation of, or monitor the use of, any hardware, software or equipment. The user of the RaiseMyStartup expressly understands and agrees that:
